Rules as of 7 Nov 2026

The 2026 BO confirmation window is already open

Confirmation between 1 October 2026 and 31 December 2026 depends on CYLogin access and an accurate register entry. Under the Companies Law definition, an officer of a legal entity includes a director, manager or secretary.

For a company with BO details already on record, the window opened on 1 October 2026.

Failure to confirm attracts penalties against the company or other legal entity. The 2026 financial penalties are set out below.

Financial penalties for missing the 2026 confirmation deadline
Penalty componentAmount
First day of non-compliance€100
Each subsequent day of continued non-compliance€50
Maximum total financial penalty€5,000

Financial penalties are separate from possible criminal liability or prosecution of a person.

Why an update does not replace annual confirmation

Any initial registration, change or other BO, senior management official or due diligence action that falls within the confirmation window must be completed first. Confirmation must then follow by the deadline; an update does not replace it. If BO or senior management official details are incorrect or out of date, the user makes the changes under Cancel, then Actions and Beneficial Owner Update, and then returns to complete the Confirmation of UBO Details.

Confirmation is made only once per window. A later change or other action does not require a second confirmation within that period.

Which companies must confirm, including new ones?

The requirement covers companies incorporated or registered under the Companies Law, European Public Limited Companies (SEs) and partnerships.

The required action is to confirm beneficial owners or senior management officials, or apply due diligence, as applicable. Where no natural person holds 25% plus one share or more, and none controls by other means, senior management officials may be recorded.

New organisations must also confirm by 31 December 2026 if their 90-day initial submission deadline, measured from incorporation or registration, falls within the window.

Who can submit, and what must be correct first

  1. Establish who holds authorised access. Share ownership alone should not be treated as evidence. The secretary can submit through their Ariadne profile. Agree separately whether the annual fee covers confirmation.
  2. Where needed, create and activate the natural person's CYLogin profile electronically, then authenticate through e-banking. Without e-banking, arrange an appointment for in-person authentication at a Citizens Services Center, Cyprus Post or an Identification Centre.
  3. Review the existing record and complete any necessary corrections before confirmation.
  4. Submit before the closing deadline. Log in with CYLogin, select “Organisation update”, then “Beneficial Owners Update”, and enter the company's registration number.

Identifying the beneficial owner or senior management official in a nominee, trust or foreign-parent structure requires case-specific assessment. A Cyprus lawyer acting as company secretary confirms that assessment and whether the existing entry is accurate enough to confirm.

Frequently asked questions

Can beneficial ownership confirmation be filed on paper?
No, the Register of Beneficial Owners is kept in electronic form only. Updates are made through https://ubo.meci.gov.cy.
Which button completes beneficial ownership confirmation?
Selecting “Final Submission” completes beneficial ownership confirmation in the system. The same button completes due diligence confirmation.
How long is allowed to report a change after confirmation?
A legal entity must report new or changed beneficial owner details within 45 days. That period starts when the change comes to the entity’s attention, rather than necessarily on the date the change occurs.
Does filing with the Companies Register update the beneficial ownership register?
No, filing with the Companies Register does not update the Register of Beneficial Owners because the registers have no interconnection. Each register rests on its own legal basis.
