Owning existing software does not make it IP Box eligible

An established product should not be transferred solely for the advertised rate. EY reports a 15% corporate rate for 2026; Sovereign Group reports 3% on qualifying IP Box profits. The qualifying share depends on development expenditure, excluding acquisition costs and related-party R&D.

Assess the existing expenditure history before choosing a structure. R&D outsourced to unrelated contractors can qualify.

Five questions decide whether a Cyprus IP structure fits

Does the subscription contain qualifying software income?

Software qualifies. Overall income includes embedded income arising from the sale of products or services, or from processes directly related to the asset, and it is gross income earned in the tax year reduced by the direct expenses of obtaining that income.

Who incurs the development expenditure?

Qualifying profit equals (QE + UE) / OE × QA: qualifying expenditure plus uplift, divided by overall expenditure, multiplied by overall IP income. The uplift is the lower of 30% of qualifying expenditure and the total of acquisition cost and outsourcing cost to related persons for R&D relating to the asset.

For a founder commissioning development through the Cyprus company, unrelated-contractor R&D can qualify; R&D bought from a group company is excluded from qualifying expenditure.

Is existing code acquired or new code developed?

A founder whose UK Ltd transfers its established product to Cyprus is acquiring existing IP, not funding its original development. That purchase price does not become qualifying development expenditure.

According to an article cited from Legal 500, transfer pricing documentation is needed to support royalty rates and the IP acquisition price.

Would an investment holding company serve a separate purpose?

A founder holding subsidiary shares rather than software has a different rationale. Sovereign Group describes an exemption for dividends received from subsidiaries, subject to conditions, and an exemption for gains on disposal of securities, with property-rich entity rules tightened. That decision concerns investment returns rather than software development expenditure.

Where are the company and founder tax resident?

Under Law 244(I)/2025, Cyprus residence follows management and control in Cyprus, or Cyprus incorporation unless a double tax treaty provides otherwise.

Consider a UK-resident founder whose UK company holds the Cyprus company. UK-resident control can make a non-UK-resident company a UK CFC.

Diverted UK profits can trigger a charge on a UK corporate interest-holder with at least 25%, subject to gateways and exemptions.

Personal dividend taxation is separate: EY reports 5% withholding for Cyprus-resident, domiciled individuals in 2026, and 10% for constructive dividends.

Retaining the current structure remains the default where established benefits do not justify the proposed transfer and ongoing obligations.

Which figures and cross-border questions need a professional's confirmation?

The assessment should keep the software computation, transfer valuation and founder’s personal position distinct. German and other origin-country outcomes need separate review, rather than conclusions drawn from UK corporate CFC provisions.

A Cyprus licensed tax adviser (ICPAC member) must compute the software’s nexus fraction and effective rate; an independent valuer must value an existing-IP transfer. The Cyprus adviser and a licensed origin-country tax adviser must together confirm whether exit tax or CFC rules apply, and how the founder’s dividends and health contributions are treated.

Which records does the assessment need first?

The first three steps draw on documents the founder already holds.

  1. Collect the records showing who owns the IP, together with the developer contracts.
  2. Split development expenditure by software asset, by payer and by whether the other party is related.
  3. Match subscription income and direct costs to the software asset that earns them.
  4. After the individual determinations, compare retaining IP ownership, funding new development and holding investments.

Frequently asked questions

What is the IP box regime in Cyprus?
The Cyprus IP Box provides an 80% exemption for qualifying IP profits, producing the effective rate set out above. A claimant must keep accounting books and records of income and expenses for each intangible asset.
Can developers outside Cyprus count towards the IP Box?
Yes, the unrelated-contractor treatment set out above extends to contractors in any jurisdiction, according to Fidesta. The company must incur the expenditure wholly and exclusively on R&D of the qualifying asset. Interest is excluded from qualifying expenditure.
Can the additional R&D deduction be combined with the IP Box?
The additional deduction is 20% of the qualifying expenses. A claimant can waive it partly or entirely each tax year.
Can acquired software receive capital allowances without qualifying expenditure?
Capital deductions can apply: capital expenditure on intangible assets with an indefinite useful economic life is allocated over 20 years. For an asset contributed in exchange for share capital, deductible expenditure cannot exceed its market value at introduction. No deduction is granted unless that value is documented to the Commissioner's satisfaction.
Do retained profits still trigger deemed dividend distributions?
According to EY Global Tax News, the deemed distribution rules are abolished for profits generated after 31 December 2025.
Does the global minimum tax override the IP Box?
Pillar Two applies to groups that meet a revenue threshold, according to RSM Cyprus, so its scope depends on group status and revenue. The threshold is consolidated revenue of at least €750 million in at least 2 of the 4 preceding financial years. It applies to Cyprus subsidiaries and branches of such groups, and to large domestic groups, wherever the group is headquartered.
